Terms of Use

1. Agreement

These Terms of Use are an agreement between you and Malhar Bakshi, an individual developer based in Mumbai, India ("we", "us", "our"), covering your use of the NeuSync mobile application and everything in it.

By downloading, opening or using NeuSync, you accept these Terms. If you do not accept them, do not use the app.

Our Privacy Policy explains how we handle your data and forms part of this agreement.

2. Eligibility

You must be at least 13 years old to use NeuSync. If you are under 18, you may use it only with the involvement of a parent or guardian who accepts these Terms on your behalf.

By using NeuSync you confirm you meet these requirements.

3. What NeuSync is

NeuSync is a wellbeing audio app. It provides binaural beats, subliminal affirmations, voice-guided night sessions, soundscapes, a sound mixer, structured programmes and a personal audio generator called AI Studio, intended to support relaxation, sleep and self-directed personal development.

NeuSync is not healthcare. Specifically:

• It is not a medical device.
• It is not therapy, counselling or psychological treatment.
• It does not diagnose, treat, cure or prevent any medical or psychological condition.
• It is not a substitute for professional medical or mental health care, and nothing in it should be treated as such.
• It is not a crisis service and cannot respond to an emergency.

If you are in distress or in danger, contact a qualified professional or your local emergency number.

Claims about outcomes. The ideas NeuSync draws on are widely discussed in wellbeing practice, but results vary between people, and we do not guarantee any particular outcome.

4. Your account

Some features require an account, which you create using Sign in with Apple or Google.

You are responsible for keeping access to your account secure. Tell us promptly if you believe someone else has gained access to it.

You may delete your account at any time from Profile → Delete Account. Your account is deleted immediately and cannot be restored. Your content is permanently deleted within a few days, as the Privacy Policy describes, and any unused AI Studio credits are lost. Deleting your account does not cancel your subscription. See Section 5.

5. Subscriptions and billing

NeuSync offers auto-renewing subscriptions that unlock premium content and features.

How billing works. Payment is charged to your Apple ID account at confirmation of purchase. Your subscription renews automatically unless auto-renew is turned off at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the current period ends. You can manage and cancel your subscription in your Apple ID settings at any time.

Prices are shown in the App Store before you buy, in your local currency, and may differ between countries. We may change prices in future; a change will never affect a period you have already paid for.

Free trials. Where a free trial is offered, it is available once per Apple ID. If you do not cancel at least 24 hours before the trial ends, the subscription begins and you are charged. Any unused part of a free trial is forfeited if you buy a subscription during the trial period.

Cancellation and refunds. Cancelling stops future renewals; it does not end the period you have already paid for, and you keep premium access until that period ends. Refunds are handled by Apple, not by us, under Apple's own policy. We cannot issue refunds for App Store purchases.

6. AI Studio credits

AI Studio uses credits. One credit produces one personal track.

• Credits are consumables. They are used up when spent and are not refundable once used.
• Credits do not expire, but an active subscription is required to spend them. If your subscription lapses, your credit balance remains and is waiting for you when you resubscribe.
• Complimentary credits may be included with a subscription. These are a benefit of that subscription, not a separate purchase.
• Credits have no cash value, cannot be exchanged for money, and cannot be transferred to another person or account.
• If a generation fails for a technical reason on our side, your credit is not used.
• If you delete your account, any unused credits are lost.

7. AI Studio

7.1 How it works

You describe a change you want in your own words. Our system classifies the request, and where appropriate produces a script shaped by our knowledge base, renders it as speech, and layers it over one of our binaural audio beds. The finished track appears in your AI Studio library.

7.2 What AI Studio will not do

AI Studio has deliberate limits:

• It will not attempt to treat, cure or manage a medical or psychological condition.
• It will not give advice about prescription medication. For questions like that, you are encouraged to speak with your doctor.
• It will not produce content aimed at changing, controlling or influencing another person.
• It will not guarantee an outcome.
• Where an input suggests a crisis or a risk of self-harm, no track is generated. Instead, you see a message encouraging you to seek support from someone you trust or a local support service. NeuSync cannot respond to an emergency.

We may decline any request at our discretion.

7.3 What you write

What you type into AI Studio is yours. You grant us only the permission we need to produce and deliver your track and to keep it available in your library.

We do not use your inputs to train AI models, and we do not use them for marketing. The Privacy Policy explains how our AI providers handle them.

You are responsible for what you submit. Do not submit anyone else's personal information, anything unlawful, or anything that infringes another person's rights.

7.4 AI-generated content and its limits

AI Studio tracks are produced by automated systems. Automated systems can produce unexpected or imperfect results, and although we apply checks before a track reaches you, we cannot guarantee that every track will be accurate, suitable or free of error.

Treat an AI Studio track as a self-directed wellbeing exercise.

8. Ownership and access

8.1 Everything in NeuSync belongs to us

NeuSync and everything in it (the app, its design, its audio library, its binaural beds, its programmes, its knowledge base, its written content, and the NeuSync name and logo) is owned by us or licensed to us, and is protected by copyright, trademark or other intellectual property laws.

8.2 AI Studio tracks are ours, and they stay inside the app

A track generated for you is not transferred to you.

Each AI Studio track is a combined work. It contains our binaural audio bed, our arrangement and structure, and speech produced by our system from our knowledge base. We own that combined work. Producing a track for you does not make it yours and does not transfer any ownership to you.

AI Studio tracks are playable only inside the NeuSync app. They are not downloadable and not shareable. You must not attempt to extract, capture, copy, re-record, decompile or otherwise obtain the audio file by any means.

Access to play your tracks requires an active subscription. If your subscription lapses, your tracks and your credit balance remain in your account, but you will not be able to play them until you resubscribe. Nothing is deleted.

8.3 What you may do

While your account is in good standing, and for the features your subscription covers, you may use NeuSync for your own personal, private, non-commercial listening.

8.4 What you may not do

You must not:

• copy, record, download, extract, redistribute, publish, sell, rent, lend or make available any NeuSync audio, including AI Studio tracks;
• play NeuSync audio in any public or commercial setting, including classes, studios, clinics, spas, retreats, events, livestreams, podcasts or video content;
• share your account, or let anyone else use your subscription or your tracks;
• use NeuSync audio as material in another product, service or AI system, including as training data;
• reverse-engineer, decompile or attempt to derive the source code, prompts, knowledge base or audio pipeline;
• remove or obscure any ownership or proprietary notice;
• use NeuSync unlawfully, or in a way that harms the service or other users.

If you would like to use NeuSync audio in a way this section does not allow, for example in a class, studio, clinic or event, write to us at neusync.app@gmail.com. Any such use needs a separate written licence agreement with us, and whether we offer one is entirely our decision.

8.5 We can withdraw access

If you breach these Terms, we may suspend or withdraw your access to NeuSync, or suspend or terminate your account, without refund. We may do this without notice where the breach is serious.

8.6 Your ideas and suggestions

If you send us ideas, suggestions or feedback about NeuSync, including through our Request a Feature form, we are free to use them, without any obligation or payment to you.

9. Safety

Please read this section carefully.

• Do not use NeuSync while driving, cycling, operating machinery, or doing anything else that requires your attention. Much of our audio is designed to relax you and to help you fall asleep.
• Some tracks are designed to induce sleep. Read the description of a track before playing it, and choose a setting where falling asleep is safe.
• Binaural content requires headphones to work as intended. Without stereo separation, the effect does not occur.
• Do not use NeuSync around infants or young children, and do not play it for them. It is not designed for them.
• Protect your hearing. Set the volume to a comfortable level, particularly if you are listening overnight or for long periods.
• If you have epilepsy, a seizure disorder, or any neurological condition, speak to your doctor before using binaural audio.
• Stop if it does not feel right. If any audio causes discomfort, distress, dizziness, headache or any other unwanted effect, stop, and consult a professional if it persists.

10. Availability and changes

We work to keep NeuSync available, but we do not promise uninterrupted service. Access may be interrupted for maintenance, updates, or problems outside our control.

We may add, change or remove features, content or tracks at any time. We may discontinue NeuSync entirely; if we do, we will give reasonable notice where we can.

11. Disclaimers

To the fullest extent the law allows, NeuSync is provided "as is" and "as available", without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement.

We do not warrant that NeuSync will meet your requirements, be uninterrupted or error-free, or that any result will be achieved.

Some jurisdictions do not allow the exclusion of certain warranties. Where that applies to you, some of the above may not apply, and you may have rights that these Terms cannot take away.

12. Limitation of liability

To the fullest extent the law allows:

• We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or lost opportunity, arising from your use of NeuSync.
• Our total liability to you, for any claim arising out of or relating to NeuSync, will not exceed the greater of the amount you paid us in the 12 months before the claim, or USD 50.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

13. Indemnity

You agree to indemnify us against any claim, loss or expense arising from your breach of these Terms, your misuse of NeuSync, or your infringement of anyone else's rights.

14. Termination

By you. Delete your account at any time from Profile → Delete Account, and cancel any subscription through your Apple ID settings.

By us. We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if we discontinue the service.

On termination your right to use NeuSync ends immediately. Sections 8, 11, 12, 13 and 15 survive.

15. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. The courts of Mumbai, Maharashtra have exclusive jurisdiction over any dispute, subject to any right you have under the consumer laws of the country where you live to bring proceedings there.

If you have a problem, write to us first at neusync.app@gmail.com. Most things are resolved faster that way.

16. Apple

NeuSync is distributed through the Apple App Store, and the following apply to that:

• These Terms are between you and us, not between you and Apple. Apple is not responsible for NeuSync or its content.
• You may use NeuSync on Apple devices that you own or control, as the App Store's Usage Rules allow. This right is personal to you and cannot be transferred.
• Apple has no obligation to provide support or maintenance for NeuSync.
• If NeuSync fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price. To the extent the law allows, Apple has no other warranty obligation.
• Apple is not responsible for addressing any claim relating to NeuSync, including product liability, regulatory compliance, or consumer protection claims.
• Apple is not responsible for any third-party claim alleging that NeuSync infringes intellectual property rights.
• You confirm you are not located in a country subject to a US Government embargo or designated as a terrorist-supporting country, and that you are not on any US Government list of prohibited or restricted parties.
• When using NeuSync, you must also follow any third-party terms that apply to you, such as your mobile data plan.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

17. General

Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about NeuSync, unless we have signed a separate written agreement with you.

Severability. If any part is found unenforceable, the rest continues in force.

No waiver. If we do not enforce a provision, that does not waive our right to enforce it later.

Assignment. You may not transfer your rights under these Terms. We may transfer ours, for example if the business is restructured or acquired.

Changes. We may update these Terms. If a change is significant, we will tell you in the app before it takes effect. Continuing to use NeuSync after a change means you accept it.
